This Vehicle Detailing Services Agreement (this “Agreement”) is made and entered into this

(the “Member”). The Company and the Member may be referred to individually as a “Party” and collectively as the “Parties.”
1. THE VEHICLE
The Member hereby engages the Company to perform detailing services on the following vehicle:

2. THE “CLEAN SLATE” REQUIREMENT (Baseline Condition)
All memberships are contingent upon the vehicle meeting the cleanliness standard.
2.1 Initial Evaluation:
A physical inspection will be conducted by the company prior to the first cleaning service. If the vehicle is found to have heavy soiling, deep stains, excessive pet hair, or biohazards, a full cleaning detail must be completed at the Member’s expense, at a discounted Member rate, before the membership begins.
2.2 Billing Commencement.
Membership dues are processed as follows:
2.2.1 Post-Initial Service:
If the Member required an “Initial Cleaning Detail” (Section 2.1) to reach the Clean Slate standard, the first recurring monthly membership charge will be processed on the last day of the month in which that initial service was completed.
2.2.2 Standard Start:
If the vehicle “Passed” inspection and no initial detail was required, the first recurring monthly charge will be processed on the day of the first maintenance detail.
2.2.3 Subsequent Charges:
All following payments will be processed on the same numerical day of each month thereafter (the “Billing Date”).
3. SERVICE SCOPE & LIMITATIONS
3.1 Maintenance & Upkeep Definition.
All services performed under a Membership Tier are classified as “Maintenance Details.”
3.1.1 Scope of Work:
Maintenance Details are intended for the routine upkeep of a vehicle already in “Clean Slate” condition (as defined in Section 2). This includes top-layer vacuuming, surface wiping, glass cleaning, and exterior washing to maintain the vehicle’s current state.
3.1.2 Exclusions (Cleaning Services):
Membership dues do not cover restoration-level work. This includes, but is not limited to:
Deep fabric extraction or steam cleaning of heavy stains.
Mold, mildew, or biohazard removal.
Excessive pet hair or industrial debris removal.
Paint correction or scratch removal.
3.1.2.1 Stain Disclaimer.
While the Company uses professional-grade tools and chemicals, the Company does not guarantee the 100% removal of any stain or odor. Permanent staining, sun-fading, or material degradation cannot be reversed through maintenance detailing.
3.1.3 Condition Out-of-Scope:
If, upon arrival, the Company determines the vehicle’s condition has deteriorated beyond “Maintenance” levels (e.g., the vehicle has been trashed since the last visit), the Company reserves the right to:
Perform only the standard maintenance tasks (leaving deep stains/mess unaddressed).
Charge an “Excessive Condition Fee” (quoted on-site) to be paid immediately.
Reschedule the appointment as a Full-Price Restoration Detail.
3.2 Biohazard Discovery:
If feces, urine, blood, or heavy mold are discovered, the Company reserves the right to stop work for safety. The Company will determine if the service can proceed; if not, labor performed to that point is due and the service is forfeited.
4. INCLUDED SERVICES
4.1 Maintenance Detail Defined.
Every scheduled membership visit consists of a “Maintenance Detail,” which is designed to preserve the vehicle’s “Clean Slate” condition. This service is strictly limited to the following:
4.1.1 Interior Maintenance (If Selected):
Deep Vacuum: Thorough extraction of loose debris from carpets, floor mats, and seat crevices.
Full Surface Wipe Down: Dusting and sanitizing of the dashboard, center console, door panels, and trim.
Upholstery & Seat Wipe Down: Surface cleaning of leather, vinyl, or synthetic materials to remove light oils and dust (does not include deep steam extraction).
Glass & Windows: Streak-free cleaning of all interior windows, mirrors, and infotainment screens.
4.1.2 Exterior Maintenance (If Selected):
Full Dirt Rinse: Pressure rinse to remove loose contaminants and grit.
Full Wax-Wash: A contact hand-wash using premium lubricating soap infused with wax properties.
Ceramic Wax Refresh: Application of a ceramic-based spray sealant or wax booster to maintain hydrophobicity and paint protection.
4.2 Limitations of Maintenance.
Services not explicitly listed in Section 4.1 (such as engine bay cleaning, headliner scrubbing, or clay bar treatments) are considered “Add-Ons” and will be billed separately at the Member’s request.
4.3 Add-Ons:
Services not specifically selected are out of scope. Additional requests made at the time of service will incur extra charges. To ensure availability, the Member must request any service changes at least 24 hours prior to the appointment.

7. PAYMENT TERMS & CANCELLATION
7.1 Payment Obligation.
The Member agrees to pay monthly fees based on the selected plan. Once a service is performed, the Member is legally obligated to complete all payments for that specific service cycle as defined by their chosen plan:
7.2 Quarterly Plan:
A minimum commitment of three (3) monthly payments per service cycle.
7.3 Pro Plan:
A minimum commitment of two (2) monthly payments per service cycle.
7.4 Elite Plan:
A minimum commitment of one (1) monthly payment per service cycle.
7.5 Membership Term & 1-Year Commitment.
By selecting the Annual Membership, the Member commits to a minimum of twelve (12) consecutive months.
7.5.1 Promotional Incentive (First Month Free):
Members on an annual plan receive their first month of membership dues at no cost ($0.00). This incentive is strictly contingent upon the completion of the full 12-month term. If the membership is terminated early, the Member shall be billed the Standard Retail Rate for the month originally discounted.
7.6 Cancellation Policy.
The Member may cancel this Agreement by providing written notice to the Company at least thirty (30) days prior to the start of the next billing cycle.
7.7 Early Termination.
If the Member cancels before the end of a service cycle, the Member remains obligated to remit all remaining payments for that cycle immediately. No refunds will be issued for services already rendered.
7.7.1 One-Service Abuse & Rate Adjustment:
The “Member Rate” is a loyalty-based discount contingent upon the Member maintaining an active, multi-service relationship. If a Member cancels their membership after only one (1) service has been executed, the Member acknowledges that they have received a “Standard Retail Service” rather than a “Maintenance Membership Service.”
Recapture Charge: In this specific scenario, the membership discount is retroactively voided. The Member will be charged a one-time “Rate Adjustment Fee” equal to the difference between the Member Rate already paid and the Standard Retail Rate for that vehicle’s specific package. This ensures the company is compensated for the full retail value of the labor performed.
Final Settlement: Upon early cancellation, the “Discount Gap” (Standard Retail Rate minus Member Rate) for the completed service will be calculated and charged to the Member’s payment method on file as a final adjustment fee.
7.8 Promotional Rates (Any Promotional Rates).
If the Member is enrolled in the Monthly Rate at a promotional rate, the Member acknowledges this rate is strictly contingent upon a minimum 3-month commitment following the initial service.
7.8.1 Early Exit Penalty:
If the Member terminates the agreement before the 3-month promotional period ends, the Member authorizes the Company to charge a “Promotion Reversal Fee” equal to the difference between the Promotional Rate and the Standard Rate for all months serviced to date.
8. SCHEDULING
8.1 The 7-Day Check-In:
A courtesy confirmation call or text will be made one week prior to service to the Member. If there are any additional services required the member will let the company know at this time.
9. REFUNDS AND RESCHEDULING
9.1 No Refunds.
All payments are non-refundable. The Company does not offer “rainchecks” or credits for unused services; instead, services will be handled via the rescheduling process below.
9.2 Weather & Temperature Restrictions.
To ensure the safety of our technicians and the integrity of the vehicle’s surfaces, the Company cannot perform mobile services if the ambient temperature is 35°F or below, or in the event of heavy rain, snow, or high winds.
9.2.1 Service Rescheduling:
If a service is cancelled due to weather, the Company will prioritize rescheduling the Member for the next available date with a forecast above 35°F.
9.2.2 Billing During Off-Season:
Monthly membership dues will continue to be processed to maintain the Member’s discounted rate and “Active” status.
9.2.3 Credit Accumulation:
Any service missed due to sustained low temperatures (the “Freeze Period”) will be converted into a “Service Credit.” These credits never expire while the membership is active and may be used for:
Additional maintenance visits in the spring/summer.
Applying the dollar value toward a Full-Price Restoration or Add-On service.
Gifting a single maintenance detail to a friend or family member (subject to Company approval).
9.3 Rollover Policy.
Services are intended to be used in the year they are purchased. A maximum of one (1) service may be rolled over to the following calendar year. Any additional unused services at the end of the year will be forfeited and are not eligible for refund or credit.
10. EMERGENCY SERVICES & ADDITIONAL WORK
10.1 Unscheduled Cleanings.
Requests for cleanings that fall outside of the regular scheduled appointments will be considered unscheduled cleanings. These services are contingent upon availability and will be billed at the Monthly Rate for the vehicle cleaning, in addition to a Travel Fee.
10.2 On-Site Add-Ons.
Any requests from the Member for additional services on the day of a scheduled appointment that were not part of the initial agreement require management approval and depends on schedule availability. If approved, these add-ons will be billed separately at the current market rates and are due at the time the additional service is provided.
11. LIABILITY AND DAMAGE WAIVER
11.1 Pre-Existing Conditions.
The Member acknowledges that detailing services may reveal imperfections (e.g., scratches, paint chips, or oxidation) previously hidden by dirt or debris. The Company is not liable for the lifting or peeling of Paint Protection Film (PPF), vinyl wraps, or aftermarket decals during the pressure washing or contact washing process. The Company is not responsible for pre-existing damage, including but not limited to:
Clear coat failure, paint thinning, scratches, or peeling.
Cracked or scratches in aged leather, vinyl, or plastic trim.
Mechanical or electrical failures of aged vehicle components (e.g., window motors, locks, or sunroofs).
11.2 Personal Property.
The Member is responsible for removing all personal belongings (e.g., electronics, money, or car seats) before the appointment. The Company shall not be held liable for any loss, damage, or misplacement of items left in the vehicle.
11.2.1 Child Safety Seats.
Company technicians will remove child safety seats to clean underneath them but will not reinstall them under any circumstances. It is the Member’s sole responsibility to properly reinstall and verify the safety of all child restraint systems before operating the vehicle.
11.3 Mobile Service Requirements.
The Member must provide the Company with a safe workspace and clear access to the vehicle. The Company is not responsible for any damage to the driveway, garage floor, or real property caused by equipment, chemicals, or water runoff during the normal course of service.
11.4 Safety:
The Company reserves the right to refuse service if the location is deemed unsafe or unlawful for detailing operations.
11.5 Utilities:
The member shall provide water hookups and electrical outlets for the company to use for the detailing service.
11.6 Limit of Liability.
To the maximum extent permitted by law, the Company’s total liability for any claim arising from this Agreement shall not exceed the total amount paid by the Member for the specific service rendered.
11.7 Battery and Electronic Health.
During interior services, doors and interior lights may remain open for extended periods. The Company is not responsible for the failure of the vehicle’s battery or electronic components. If the battery is weak or fails during service, the Member is responsible for providing or paying for a jump-start or replacement.
12. ACCESS TO PROPERTY AND VEHICLE
12.1 Access Requirement.
The Member must provide access to the vehicle and a safe workspace at the scheduled time. If the Company cannot access the vehicle within 30 minutes of the scheduled start time, the appointment will be deemed a “No-Show”.
12.2 No-Show Fees.
To compensate for vehicle fuel, travel time, and lost labor opportunity, the following fees apply:
12.2.1 Initial Service:
For a Member’s very first scheduled service, a No-Show will result in an immediate $50.00 Travel & Hardware Fee charged to the card on file.
12.2.2 Existing Members (Forgiveness Policy):
Active Members in good standing are entitled to one (1) “No-Show Forgiveness” per calendar year, where the fee is waived for a first-time occurrence.
12.2.3 Recurring Occurrences:
Any subsequent No-Show within the same calendar year will incur the standard $50.00 Travel & Hardware Fee.
13. GOVERNING LAW
13.1 This Agreement shall be governed by the laws of the State of Utah. Any legal proceedings arising from this Agreement shall be conducted exclusively in the courts of Utah County, Utah.
14. AUTHORIZATION
14.1 Digital Record Consent.
Member agrees that a scanned, electronic copy of this signed Agreement shall carry the same legal weight and enforceability as the original paper document. Member authorizes the Company to process all payments, including Rate Adjustment Fees and Promotion Reversal Fees, to the payment method on file as established herein.
By signing below, I authorize the company to store my payment information and automatically charge my credit card for monthly membership fees as described above in this agreement.
EXHIBIT A: STANDARD RETAIL PRICING & MEMBERSHIP RATES
This Exhibit A defines the Standard Retail Rate and Member Rate referenced throughout Section 7 of the Agreement.

4. Rate Adjustment (Abuse Prevention)
As established in Section 7.7.1, if a membership is cancelled after only one (1) service has been executed across the life of the membership, the “Discount Gap” will be charged. This is calculated as:
